Private equity deal diligence in monday.com
A fund runs the same diligence on every deal in the pipeline, and keeps asking versions of the same questions of its portfolio companies afterwards. That repetition is the point. Doclayer lets a deal team keep one question set, run it on each new data room from the deal's monday board, and compare the answers across contracts, deals and years.
One question set, every deal
Most funds already track the pipeline in monday: a board per deal or a group per stage, with the data room index and the key documents attached. Doclayer adds a review table to each deal board. The columns are the fund's standard questions, saved from the last deal and adjusted for this one. New associates inherit the question set instead of the checklist in someone's head.
Because plans cover a whole monday account, the deal partner, the associates, outside counsel with a guest seat and the operating partners can all open the same table. Viewers read; members review.
Deal stage: customer contracts
Revenue quality lives in the customer contracts. These six columns give a first pass across the top accounts before the full legal review, and a table the deal team can read in a morning.
| Question (column) | What a good cell holds | Usual decision |
|---|---|---|
| What is the annual contract value and how is it adjusted? | Fees, the pricing basis, and any indexation or price review clause. | Question when the adjustment mechanism is unclear. |
| Can the customer terminate for convenience, and on what notice? | Whether the right exists, the notice period, and any early termination fee. | Issue for short-notice convenience rights on top accounts. |
| Does a change of control at the target need the customer's consent? | The clause and who must consent. | Issue when consent is required. |
| Is there a volume commitment or minimum spend? | The commitment, the period, and the consequence of a shortfall. | Clear when present; Question when revenue depends on an absent commitment. |
| Are there service credits or penalties tied to service levels? | The service levels, the credit formula, and any cap on credits. | Question when credits are uncapped. |
| When does the agreement expire, and does it auto-renew? | Expiry date, renewal term, and the notice deadline to stop renewal. | Clear, with the date carried into the board. |
Portfolio stage: leases
The same method works after closing. A portfolio company's leases, supplier agreements or insurance policies can be reviewed from its own board, with the findings assigned to the management team as items. Leases are the common first case.
| Question (column) | What a good cell holds | Usual decision |
|---|---|---|
| What is the lease term and the next break date? | Start, expiry, and any tenant or landlord break with its notice period. | Clear, with the break date carried into the board. |
| How and when is rent reviewed? | Review dates and the basis: open market, index-linked, or fixed uplift. | Question when the next review is within twelve months. |
| Can the tenant assign or sublet, and on what conditions? | The alienation clause and the landlord consent standard. | Issue when assignment is prohibited outright. |
| What repair and reinstatement obligations apply at the end of the term? | The repair standard and any obligation to remove fit-out. | Question when the obligation is full repairing with no schedule of condition. |
Findings become board work
A cell marked Issue or Question can be published to the board as an item with the contract name and the citation attached. The deal team assigns it, dates it and tracks it alongside the rest of the deal plan. Republishing after a rerun updates the item rather than adding a second one, so the board stays clean through several rounds of the data room.

Budgeting the work
A Review Unit is one Document through one review of up to 15 Questions. A first pass over thirty customer contracts is thirty units; rerunning the ten that changed after the management meeting is ten more. The Team and Business plans suit a steady pipeline, and the Deal plan covers a live transaction at 1,000 units a month. The numbers are on the pricing page.
Confidentiality and the fund's policies
Documents reach Doclayer only when someone selects them. They are stored under your Organization, hosted in the European Union, not used to train AI models, and deleted within ten days of uninstall. The permissions the app holds in monday and the controls behind them are described on the security page. For the general method, see what tabular document review is.
