Terms and conditions for using Doclayer's document processing services.

These Terms of Service ("Terms") govern your access to and use of Doclayer's services, websites, and applications (collectively, the "Service") provided by Doclayer ("we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.


1. Definitions

  • "Account" means your registered account to access the Service
  • "Content" means documents, data, text, and files you upload or create
  • "User" means any individual or entity using the Service
  • "Organization" means a company, team, or entity with multiple Users
  • "API" means the Doclayer application programming interface
  • "Agent Templates" means pre-configured extraction templates provided by Doclayer

2. Account Registration

2.1 Eligibility

You must be at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

2.3 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.


3. Service Description

Doclayer provides:

  • Document upload and processing
  • AI-powered data extraction
  • Semantic search capabilities
  • API access for integrations
  • Agent templates for common document types
  • Workflow automation

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.


4. Acceptable Use

4.1 You May

  • Upload documents you own or have rights to process
  • Use extracted data for lawful business purposes
  • Integrate with third-party services via our API
  • Share access within your organization

4.2 You May Not

  • Upload illegal, harmful, or infringing content
  • Attempt to reverse engineer the Service
  • Circumvent usage limits or security measures
  • Use the Service for spam, phishing, or fraud
  • Resell or redistribute the Service without authorization
  • Process documents containing child exploitation material
  • Use the Service to violate any applicable law
  • Interfere with or disrupt the Service
  • Access other users' data without authorization

4.3 Content Restrictions

You may not upload documents that:

  • Infringe intellectual property rights
  • Contain malware or malicious code
  • Violate privacy or data protection laws
  • Are illegal in your jurisdiction

5. Your Content

5.1 Ownership

You retain all rights to your Content. Doclayer does not claim ownership of documents you upload.

5.2 License to Doclayer

By uploading Content, you grant us a limited license to:

  • Process and analyze your documents
  • Store your Content on our infrastructure
  • Create derived data (extractions, embeddings, indexes)
  • Provide the Service to you

This license terminates when you delete your Content or account.

5.3 Content Responsibility

You are solely responsible for:

  • The legality of your Content
  • Obtaining necessary rights and permissions
  • Ensuring compliance with applicable laws
  • Backing up your Content

6. Intellectual Property

6.1 Doclayer Property

The Service, including software, APIs, agent templates, documentation, and branding, is owned by Doclayer and protected by intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

6.3 Feedback

If you provide feedback or suggestions, we may use them without obligation to you.


7. Pricing and Payment

7.1 Plans

We offer various pricing plans, including free tiers and paid subscriptions. Current pricing is available at doclayer.ai/pricing.

7.2 Billing

  • Paid plans are billed in advance on a monthly or annual basis
  • Payments are processed by Stripe
  • All fees are non-refundable unless required by law
  • We may change prices with 30 days notice

7.3 Usage Limits

  • Each plan has usage limits (documents, API calls, storage)
  • Exceeding limits may result in additional charges or service restrictions
  • Usage is calculated based on your billing cycle

7.4 Taxes

Fees are exclusive of taxes. You are responsible for applicable taxes in your jurisdiction.


8. Free Tier and Trials

8.1 Free Tier

The free tier is provided "as is" with limited features and support. We may modify or discontinue the free tier at any time.

8.2 Trials

Trial periods provide full access for evaluation. At trial end, you must subscribe to continue using paid features.


9. Third-Party Integrations

9.1 Integrations

The Service integrates with third-party platforms (Make.com, Zapier, etc.). These integrations are governed by:

  • These Terms
  • The third party's terms of service
  • Our Privacy Policy

9.2 Third-Party Services

We use third-party services for:

  • AI processing (Google, OpenAI, Anthropic)
  • Cloud infrastructure (GCP, AWS)
  • Payment processing (Stripe)

You acknowledge that your data may be processed by these providers in accordance with our Privacy Policy.

9.3 No Warranty for Third Parties

We are not responsible for third-party services, their availability, or their handling of your data beyond our contractual agreements with them.


10. API Usage

10.1 API Access

API access is subject to:

  • Rate limits based on your plan
  • Authentication requirements
  • Our API documentation and guidelines

10.2 API Keys

  • Keep API keys confidential
  • You are responsible for all API usage under your keys
  • Compromised keys should be rotated immediately

10.3 Programmatic Access

Automated access must:

  • Respect rate limits
  • Include proper error handling
  • Not circumvent security measures

11. Data Protection

11.1 Privacy

Our collection and use of personal data is governed by our Privacy Policy at doclayer.ai/privacy.

11.2 Data Processing Agreement

For organizations requiring a Data Processing Agreement (DPA) for GDPR compliance, contact legal@doclayer.ai.

11.3 Security

We implement industry-standard security measures. However, no system is completely secure, and we cannot guarantee absolute security.


12. Disclaimers

12.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF RESULTS

12.2 AI Limitations

AI-powered extractions may contain errors. You are responsible for:

  • Reviewing extracted data for accuracy
  • Not relying solely on automated results for critical decisions
  • Implementing appropriate quality controls

12.3 No Legal Advice

Doclayer does not provide legal, financial, or professional advice. Extracted data should not substitute for professional judgment.


13. Limitation of Liability

13.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCLAYER SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, or data
  • Business interruption
  • Cost of substitute services

13.2 Liability Cap

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

  • The amount you paid us in the 12 months preceding the claim
  • One hundred pounds sterling (£100)

13.3 Exceptions

These limitations do not apply to:

  • Liability that cannot be excluded by law
  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation

14. Indemnification

You agree to indemnify and hold harmless Doclayer, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your Content
  • Your violation of these Terms
  • Your violation of any third-party rights

15. Termination

15.1 By You

You may terminate your account at any time through your account settings or by contacting support@doclayer.ai.

15.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Fail to pay fees when due
  • Create risk or legal exposure for us

15.3 Effect of Termination

Upon termination:

  • Your right to use the Service ends immediately
  • We may delete your Content after 30 days
  • Outstanding fees remain due
  • Provisions that should survive termination will survive

15.4 Data Export

Before termination, you may export your data using our export features or API.


16. Dispute Resolution

16.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@doclayer.ai to attempt informal resolution.

16.2 Governing Law

These Terms are governed by the laws of England and Wales.

16.3 Jurisdiction

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16.4 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions.


17. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Email to your registered address
  • Notice on our website
  • In-app notification

Continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the Service.


18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Doclayer.

18.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

18.3 Waiver

Failure to enforce any provision does not constitute a waiver.

18.4 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations freely.

18.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
